This User Agreement (the “Agreement”) governs the use of the website https://zenplatesdelivery.ch (the “Website”) and the ordering of products and meals provided by Zen Plates, located at Avenue d’Epenex 1B, 1022 Chavannes-près-Renens, Lausanne, Switzerland (“Seller”, “we”, “our”, “us”). By placing an order or using the Website, the user (“Buyer”, “you”, “your”) confirms that they have read, understood, and fully accept this Agreement.
1. General Provisions
This Agreement constitutes a legally binding contract between the Seller and the Buyer in accordance with the laws of Switzerland. The Buyer must be a natural person aged 18 or older or a legal entity with the legal capacity to enter into a binding agreement. The Seller reserves the right to modify or update this Agreement at any time. Any changes will be published on the Website and become effective upon posting. Continued use of the Website constitutes acceptance of the revised Agreement.
2. Subject of the Agreement
The Seller agrees to deliver the products or meals (the “Goods”) ordered by the Buyer through the Website, and the Buyer agrees to accept and pay for them in accordance with this Agreement. Product descriptions, images, and prices are provided on the Website for informational purposes. Minor variations may occur due to packaging, preparation, or presentation.
3. Contract Formation
A binding agreement between the Buyer and the Seller is formed once the Buyer places an order through the Website and receives an electronic confirmation of acceptance (email or website notification). The Seller reserves the right to decline or cancel an order in cases of incorrect pricing, stock unavailability, or suspected fraudulent activity.
4. Prices, Payment, and Delivery
All prices shown on the Website are in Swiss Francs (CHF) and include applicable VAT unless stated otherwise. Payment methods include online payment by credit/debit card or digital wallet at checkout, or cash or card payment upon delivery (if available). The order is processed only after successful payment authorization. Delivery is available within designated service areas listed on the Website. Delivery times are estimates and may vary due to traffic, weather, or operational constraints. The Buyer must ensure accurate delivery details (address, access code, contact number). The Seller is not liable for delays or non-delivery resulting from incorrect or incomplete information.
5. Returns, Refunds, and Order Issues
Due to the perishable nature of food and personalized preparation of orders, returns or exchanges for reasons unrelated to product quality are not permitted. If the Buyer receives Goods that are damaged, incorrect, or unfit for consumption, the Buyer must notify the Seller immediately (and no later than 24 hours after delivery) via zenplatesdelivery@gmail.com. Upon verification, the Seller may, at its discretion, replace the affected items, provide a partial refund or discount on a future order, or issue a full refund for the defective items. Refunds are processed using the same payment method within a reasonable period after approval.
6. Responsibilities of the Parties
The Seller undertakes to deliver the ordered Goods in proper quality and within the stated delivery conditions, ensure appropriate storage, handling, and hygiene during preparation and delivery, and provide accurate information regarding products and prices. The Buyer undertakes to provide accurate contact and delivery information, accept delivery within the specified time, and pay for the order in full and in a timely manner.
7. Liability
The Seller is not liable for delays, order cancellations, or non-performance caused by circumstances beyond its reasonable control (force majeure), including but not limited to severe weather, power failures, transport disruptions, or supplier shortages. The Seller’s total liability for any claim shall not exceed the value of the affected order. Nothing in this Agreement limits liability for intentional misconduct, gross negligence, or injury to life or health.
8. Privacy and Data Protection
The Seller processes personal data in accordance with the Swiss Federal Act on Data Protection (FADP) and the EU General Data Protection Regulation (GDPR), as described in the Privacy Policy available on the Website. By placing an order, the Buyer consents to the collection and processing of their personal information for order fulfillment, customer support, and service improvement purposes.
9. Intellectual Property
All content on the Website, including logos, text, images, and design elements, is the property of Zen Plates or its licensors and is protected by Swiss and international intellectual property laws. Unauthorized copying, modification, or distribution is prohibited.
10. Dispute Resolution and Governing Law
Any disputes arising from or relating to this Agreement shall be governed by the laws of Switzerland, excluding its conflict of law rules. The exclusive place of jurisdiction shall be Lausanne, Switzerland. The parties will first attempt to resolve disputes amicably before initiating any legal proceedings.
